Infotech AI Pilot Terms of Use

TERMS OF USE:
PRE-PRODUCTION PILOT OF INFOTECH’S AI-POWERED SERVICE

These Terms of Use (“TOU”) govern the access to and use of AI functionality offered within an Infotech product or service (the “AI Service”). These TOU form an agreement between you (“Customer”) and Info Tech Operating, LLC dba Infotech (“Infotech”), a Delaware limited liability company. By signing up for or using the AI Service, Customer accepts and agrees to be bound by the TOU.

1. DEFINITIONS

1.1. “Services”: Infotech’s AI platform, including but not limited to software, features, websites, and associated technologies.

1.2. “Authorized Users”: Customer’s employees or anyone: (a) Who are authorized by the Customer to access and use the Services under the rights granted to the Customer pursuant to these Terms; and (b) For whom access to the Services has been purchased hereunder.

1.3. “Customer Data”: Any and all electronic data, documents, and information uploaded to the Service by the Customer or its Authorized Users.

1.4. “AI Features”: Components of the AI Service that use artificial intelligence (AI) and machine learning to perform: (a) Analysis and evaluation of Customer Data to answer user queries; and (b) Automation of organizational workflows and notifications.

1.5. “AI Output”: Content generated by Infotech’s AI platform in response to Customer or Authorized User queries.

1.6. “Anonymized Data”: Data derived from Authorized User interactions with the Service from which all Personal Identifiable Information (PII) and information identifying the Customer has been removed or obfuscated.

2. APPLICABILITY

2.1. Scope: These TOU apply to the pre-production pilot use of Infotech’s AI Service across multiple software products and services provided by Infotech. These TOU are incorporated by reference into specific licenses for each product or service.

2.2. Incorporation by Reference: Infotech’s Website and Online Services Terms of Use are hereby incorporated by reference in this TOU: https://terms.infotechinc.com/agreements/infotech/tou/current.

3. GRANT OF RIGHTS

3.1. License Grant: Infotech grants Customer a non-exclusive, non-transferable, limited, revocable right to access and use the AI Service during the Term, solely for internal business pre-production pilot purposes.

3.2. Scope of Use: Customer may use the AI Service only for internal testing and evaluation purposes and not for any commercial or production use. AI Output generated by the AI Service is for informational purposes only and is not a substitute for professional advice. Customer is solely responsible for reviewing and validating AI Output before relying on or sharing it.

3.3. Disclaimer of Accuracy: AI Output may be incorrect, biased, outdated, or incomplete. Infotech makes no warranty or representation as to the accuracy, completeness, or reliability of any AI Output. Customer must apply human-centric decision models and verify AI Output, especially for business or legal decisions. Decisions made based on AI Output are at the Customer’s or its Authorized Users’ sole risk.

4. USAGE RESTRICTIONS AND PARTY RESPONSIBILITIES

4.1. Customer Restrictions: Customer shall not: (a) Copy, modify, or create derivative works of the AI Service; (b) Reverse engineer, decompile, or disassemble the AI Service; (c) Use the AI Service to develop a competing product or service; (d) Remove or alter any proprietary notices or labels on the AI Service.

4.2. Customer Responsibilities: The Customer is responsible for all activities conducted by its Authorized Users, for the legality and accuracy of all Customer Data, and for maintaining the confidentiality of Authorized User accounts and passwords.

4.3. Infotech Responsibilities and Anonymized Data:

4.3.1. Infotech does not use Customer Data to train general-purpose or global AI models. AI processing occurs only in response to interactions with Customer or its Authorized Users.

4.3.2. Infotech uses Anonymized Data to improve the System, model accuracy, fix potential bugs, and develop new features.

4.3.3. Infotech uses aggregate content to evaluate, improve, and enhance the AI Service.

4.3.4. Infotech removes or masks PII and Customer data before use.

4.3.5. Infotech does not use uploaded documents or their specific contents to train general AI models.

5. CONFIDENTIALITY Infotech will not disclose Customer Data to third parties except: (a) With Customer written consent; (b) To authorized subprocessors; or (c) As required by law.

6. INTELLECTUAL PROPERTY RIGHTS

6.1. Ownership: Customer acknowledges and agrees that the AI Service and all intellectual property rights therein (including without limitation, copyrights, patents, trade secrets, trademarks, moral rights and other intellectual property rights, in and to the Services, and all modifications, changes, enhancements, or additions thereto (whether initiated by the Customer or otherwise), and all intellectual property rights relating to the provision of any supporting services are owned or licensed by Infotech. Except for the License granted hereunder, nothing in this TOU gives Customer any right, title or interest in, or to any of the AI Service. All proprietary rights in the AI Service including any aggregate usage data, traffic patterns, and aggregate content collected by Infotech in connection with use of the Service will be the sole and exclusive property of Infotech.

6.2. Feedback: Customer may provide feedback to Infotech regarding the AI Service. Infotech shall own all rights to such feedback and may use it for any purpose without obligation to Customer.

7. DATA PROTECTION AND COMPLIANCE

7.1. Data Protection: Customer shall comply with all applicable data protection laws and regulations in its use of the AI Service. Customer shall restrict entering personally identifiable data to the minimum amount necessary for its business use. Infotech will implement and maintain industry-standard administrative, physical, and technical safeguards to protect Customer Data, including encryption of data at rest and in transit.

7.2. Regulatory Compliance: Both parties agree to comply with all applicable laws and regulations related to the use and provision of the AI Service.

8. DISCLAIMER OF WARRANTIES

The AI Service is provided “as-is” and Infotech makes no other warranty or representation, either express or implied, with respect to the AI Service. Infotech expressly disclaims any implied warranties, including the warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Infotech does not warrant that operations of the AI Service will be uninterrupted or error-free. Infotech disclaims all liability for any harm or damages caused by any third-party networking or hosting providers.

9. LIMITATION OF LIABILITY

9.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INFOTECH, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE AI SERVICE OR ANY AI OUTPUT.

9.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INFOTECH’S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO INFOTECH FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

9.3. THE FOREGOING LIMITATIONS APPLY EVEN IF INFOTECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

10. TERMINATION

10.1. Termination for Convenience: Either party may terminate these TOU for any reason upon three (3) days’ written notice to the other party.

10.2. Termination for Cause: Infotech may terminate these TOU immediately if Customer breaches any material term of these TOU.

10.3. Effect of Termination: Upon termination, Customer shall cease all use of the AI Service and return or destroy all copies of any related documentation in its possession.

11. GENERAL PROVISIONS

11.1. Governing Law: These TOU shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

11.2. Entire Agreement: These TOU constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements and understandings, whether written or oral.

11.3. Severability: If any provision of these TOU is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11.4. Assignment: Customer may not assign this TOU without Infotech’s prior written consent.
